1. Agreement Overview

These Terms of Service ("Terms") explain the rules, responsibilities, and service terms that apply when you visit the Vendora website, create an account, subscribe to a plan, or use the Vendora ERP platform or any of its modules.

Vendora is a product built and operated by ANZI & CO. By registering an account, subscribing to a plan, approving a quotation, or otherwise using the platform, you agree to be bound by these Terms. These terms apply to all Vendora services, including POS, inventory management, invoicing and billing, accounting, customer relationship management, HR and payroll, and business reporting.

If you are using Vendora on behalf of a company or organisation, you confirm that you have the authority to bind that organisation to these Terms.

2. Services Covered

Vendora is a desktop-first, offline-capable ERP and POS system that helps businesses run sales, inventory, accounting, and reporting from one platform. Services include, but are not limited to:

• POS and billing
• Inventory and stock control
• Invoicing and payments
• Accounting and finance modules
• CRM and customer management
• HR and payroll modules
• Business intelligence, analytics, and reports
• Mobile companion access
• Implementation, onboarding, and support where separately agreed

3. Accounts, Subscriptions & Approval

A Vendora account is created when you register your business details and select a plan. By creating an account you agree to provide complete and accurate information and to keep that information up to date.

Subscription and licensing terms are defined in the plan you select, any quotation, proposal, or written agreement issued to you. A contract is considered approved when you confirm acceptance in writing, sign a proposal, or make the agreed payment.

Quoted prices may be valid for a limited time and may change if your scope, usage, or requirements change.

4. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information about your business and requirements.
• Ensure all content, logos, images, documents, and data you upload are legally owned or licensed for your use.
• Maintain the confidentiality and security of your login credentials.
• Comply with all applicable laws and regulations in your use of the platform.
• Not use Vendora for illegal, misleading, harmful, or unethical activity.
• Make payments in line with your subscription, quotation, proposal, or invoice.

5. Payment Terms

Payments are made according to the plan, quotation, proposal, invoice, or written agreement in place. An active subscription or licence may be required to access paid features.

Advance payment confirms your plan booking. Milestone payments, where applicable, must be paid according to the agreed schedule. Access to paid features may be limited or suspended until payment is received.

Late payments may pause access, delay support, or affect service availability. Bank charges, transfer fees, currency conversion charges, or payment processor fees are your responsibility unless agreed otherwise.

Always pay through the official payment methods listed on the Vendora website or shared through an official invoice. Payments made to unverified accounts or third parties are made at the sender's own risk.

6. Acceptable Use

You may use Vendora for lawful business purposes only. You must not attempt to hack, damage, overload, copy, scrape, or misuse the platform, its data, or its services.

You must not submit false, harmful, abusive, or misleading information, and you must not use the platform to process fraudulent transactions or to store or handle illegal content.

You must not resell, sublicense, or make the platform available to third parties unless your plan or a separate agreement explicitly permits it.

7. Client Responsibility for Illegal Activity

You, the client or user of Vendora, are solely and fully responsible for how you use the platform. Any illegal, fraudulent, infringing, deceptive, or unlawful activity carried out through your account, your users, or your data is your legal responsibility and not the responsibility of ANZI & CO. or Vendora.

To the maximum extent permitted by law, ANZI & CO. and Vendora are not liable for any illegal activity you commit or facilitate through the platform, including but not limited to tax evasion, money laundering, fraud, price fixing, sale of prohibited goods, data breaches, or infringement of third-party rights.

We may suspend or terminate your account, and we may cooperate fully with law enforcement, regulators, and tax authorities and disclose your account and transaction data where we reasonably believe illegal activity has occurred or where we are required to do so by law. You remain fully liable for your own actions regardless of any action we take.

By using Vendora you agree to defend, indemnify, and hold harmless ANZI & CO., its owners, employees, and partners from any claims, damages, losses, penalties, or legal costs arising out of your unlawful use of the platform.

8. Data, Security & Privacy

Vendora applies bank-grade encryption, role-based access control, and encrypted backups to protect your data. However, no system is completely immune to failure or attack.

Your business data remains yours. Vendora does not claim ownership of the data you enter into the platform.

We only request the access required to deliver the services you have agreed to. After delivery or account setup, you are responsible for managing access and securing your own credentials.

9. Service Availability & Offline Mode

Vendora is designed to work offline for point-of-sale and core operations. Cloud sync, reporting, and remote features depend on internet connectivity and may be affected by outages, maintenance, or third-party service interruptions.

We use reasonable efforts to maintain high availability and uptime, but we do not guarantee uninterrupted or error-free operation of the platform.

10. Intellectual Property

The Vendora platform, including its software, modules, design, illustrations, documentation, and branding, is the property of ANZI & CO. or its licensors and is protected by applicable intellectual property laws.

During your active subscription, you receive a limited, non-exclusive, non-transferable right to use the platform for your internal business operations.

You retain ownership of the business data, content, logos, and materials you provide. ANZI & CO. may display anonymised usage statistics, aggregated data, and outcome examples unless a written confidentiality restriction is agreed.

11. Confidentiality

We handle confidential business information with care and do not intentionally disclose private account details, business documents, or sensitive information to unauthorised third parties, except where required by law.

A separate Non-Disclosure Agreement (NDA) may be signed where the engagement requires additional confidentiality terms.

12. Suspension or Refusal of Service

We may pause, restrict, or terminate service where there is non-payment, abusive behaviour, illegal activity, a breach of these Terms, a security risk, or an unethical use of the platform.

• Access may be suspended if invoices remain unpaid.
• Support may be paused where communication becomes abusive or unsafe.
• Use of the platform for illegal, harmful, or deceptive activity may be refused.
• Access to unpaid deliverables may be restricted until payment is completed.

13. Cancellation & Refunds

You may cancel your subscription in line with the plan you have selected. Refunds are handled according to the plan, the stage of the subscription period, and any refund policy in place at the time.

14. Limitation of Liability

To the maximum extent permitted by law, ANZI & CO. and Vendora are not liable for indirect, incidental, special, or consequential damages, including loss of profit, loss of business, loss of data, downtime, or missed opportunities, arising from your use of or inability to use the platform.

Total liability, where legally applicable, shall not exceed the total amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

15. Third-Party Services

The platform may integrate with third-party services such as payment gateways, banks, messaging providers, cloud infrastructure, or analytics tools. Fees, downtime, policy changes, or limitations of these third parties are outside our control.

We are not responsible for losses caused by third-party platform suspension, errors, policy changes, or service failure.

16. Governing Law & Disputes

These Terms are governed by the applicable laws of Pakistan unless a separate written agreement states otherwise. In case of a dispute, both parties should first try to resolve the matter through professional communication.

If the matter cannot be resolved through communication, it may be handled through the relevant legal process available under applicable law.

17. Force Majeure

We are not responsible for delays or failure to perform caused by events outside our reasonable control, including internet outages, hosting failures, natural disasters, war, government restrictions, payment gateway issues, or third-party service interruptions.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, product, or legal requirements. Updated Terms take effect when posted on this page, and your continued use of the platform after that date constitutes acceptance of the updated Terms.
